2024 Annual General Meeting Program of Amecc Construction Mechanical Joint Stock Company

The morning began with the reception and registration of delegates. From 8:00 a.m., delegates started arriving at the company headquarters, where the staff was ready to assist with registration procedures. The reception was attentive and welcoming, ensuring delegates felt comfortable from the very start.

After completing the registration process, delegates proceeded with credential verification and received meeting materials. The credential verification was conducted rigorously to ensure the validity and accuracy of all participants. Each delegate was provided with all necessary materials for the meeting, including the general meeting agenda, financial reports, and important proposals.

After verifying the delegates’ credentials, the organizing committee reported the results to the assembly, confirming that all delegates met the qualifications and conditions to participate, thereby ensuring the transparency and legitimacy of the meeting. This step was essential to demonstrate the company’s thorough and serious preparations for this event.

At 9:00 a.m., the meeting was officially opened. Mr. Nguyen Van Nghia, Chairman of the Board of Directors of Amecc Construction Mechanical Joint Stock Company, delivered the opening speech and introduced the delegates and participants. The list of delegates included:

The meeting continued with the approval of the agenda, organizational regulations, voting procedures, and the nomination and election regulations for Board Members. The specific contents included:

1. Approval of the List of the Presidium and the Ballot Counting Committee.
2. Approval of the Meeting Agenda.
3. Approval of the Organizational Regulations and Voting Procedures for the 2024 Annual General Meeting of Shareholders.
4. Approval of the Nomination, Application, and Election Regulations (supplement) for Board Members (term 2022–2027).

The next part of the program included presentations of important reports from the Board of Directors, the Supervisory Board, and the Company’s Executive Board.

1. Mr. Nguyen Van Nghia – Chairman of the Board of Directors: Report on the activities of the Board of Directors for 2023 and plans for 2024. Mr. Nghia detailed the achievements made in 2023, the difficulties and challenges faced, as well as specific strategies and plans for 2024 aimed at continuing to promote the company’s sustainable development.

2. Ms. Pham Minh Hieu – Head of the Supervisory Board: Report on the activities of the Supervisory Board for 2023 and plans for 2024. Ms. Hieu emphasized the importance of monitoring business operations and risk management, while also providing suggestions for improvements to enhance control effectiveness in 2024.

3. Mr. Nguyen Van Tho – General Director: Report from the Executive Board on the business production results for 2023 and plans for 2024. Mr. Tho presented specific figures regarding the company’s business performance, revenue, and profits over the past year, while outlining goals and business strategies for the upcoming year.

During the 2024 Annual General Meeting of Shareholders of Amecc Construction Mechanical Joint Stock Company, the following resolutions were unanimously approved:

1. Approval of the report on the activities of the Board of Directors for 2023 and the plan for 2024, document number 01/2024/BC/HĐQT/AMECC dated May 7, 2024.
2. Approval of the report on the activities of the Supervisory Board for 2023 and the plan for 2024, document number 02/2024/BC-BKS-AMECC dated May 7, 2024.
3. Approval of the Executive Board's report on business production results for 2023 and the plan for 2024, document number 03/2024/BC-AMECC dated May 7, 2024.
4. Approval of the proposal for the audited financial statements for 2023 and the profit distribution plan, including dividend payment for 2023, document number 01/2024/TTr-ĐHĐCĐ dated May 7, 2024.
5. Approval of the proposal for the profit plan and estimated dividends for 2024, document number 02/2024/TTr-ĐHĐCĐ dated May 7, 2024.
6. Approval of the proposal for the remuneration for the Board of Directors, Supervisory Board, and Board Secretary, document number 03/2024/TTr-ĐHĐCĐ dated May 7, 2024.
7. Approval of the proposal for selecting an auditing company for the financial statements for 2024, document number 04/2024/TTr-ĐHĐCĐ dated May 7, 2024.
8. Approval of the proposal for the dismissal and supplementary election of Board Members for the remaining term of 2022–2027, document number 05/2024/TTr-ĐHĐCĐ dated May 7, 2024.
9. Approval of the dismissal of Board Members for the 2022–2027 term: Mr. Tran Ngoc Duong and Mr. Inoue Yuji.
10. Approval of the number of supplementary Board Members for the remaining term of 2022–2027 as two members.
11. Approval of the list of candidates for the Board of Directors.

The results of the election for Board Members were announced during the Annual General Meeting, receiving high consensus from shareholders. The newly elected members of the Board of Directors include:

1. Mr. Kimiyasu Matsuo: Born in 1969, with a background as an engineer, nationality: Japan. Mr. Matsuo has many years of experience working at SANKYU INC., specializing in production and procurement.
2. Mr. Nguyen Son: Born in 1974, with a Master’s degree in Economics.

Finally, Ms. Dinh Phuong Thao read the minutes and draft resolutions of the meeting. The contents of the minutes and resolutions were approved with high consensus from the shareholders. This affirms the unity and solidarity in the company's development direction.

The meeting successfully concluded at 12:30 PM with a summary speech from the Chairman of the Board of Directors, Mr. Nguyen Van Nghia. He expressed gratitude to all shareholders, Board members, Supervisory Board members, and delegates who participated and contributed to the success of the meeting. He also expressed hope for the sustainable development and success of the company in the coming years.
